4. Software License & Restrictions

4.1. License Grant: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Quantum Edge Expert Advisor on your personal MetaTrader 4 platform for your own trading purposes.

4.2. Restrictions: You agree NOT to:

• Copy, modify, adapt, translate, or create derivative works of the Software
• Reverse engineer, decompile, disassemble, or attempt to discover the source code
• Rent, lease, sell, sublicense, distribute, or transfer the Software to any third party
• Remove, alter, or obscure any proprietary notices (copyright, trademark) in the Software
• Use the Software for any illegal purpose or in violation of any regulations
• Share your account credentials with others
• Use the Software on more devices than permitted by your subscription plan

4.3. Intellectual Property: The Software, including all code, algorithms, documentation, and related materials, is protected by copyright and other intellectual property laws. All rights not expressly granted are reserved by Quantum Edge.

5. Account Terms & Subscription

5.1. Account Creation: You must create an account to use the Software. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.2. Subscription Plans: Access to the Software requires an active paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually) according to your selected plan.

5.3. Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

5.4. Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation prevents future charges but does not entitle you to a refund. See our Refund Policy for details.

5.5. Failed Payments: If a payment fails, your subscription will be suspended until payment is received. We are not responsible for any trading losses incurred due to subscription suspension.

6. Prohibited Uses

You agree NOT to use the Software or our services to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent, deceptive, or manipulative trading practices
• Attempt to hack, compromise, or interfere with our systems
• Upload viruses, malware, or other harmful code
• Harass, abuse, or threaten our staff or other users
• Use the Software in a way that could damage, disable, or impair our services
• Attempt to gain unauthorized access to other users' accounts or data
• Use automated systems (bots, scrapers) to access our website without permission

7. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WE EXPLICITLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Software will be uninterrupted, error-free, or secure
• Warranties that defects will be corrected or that the Software is free of viruses
• Any warranties regarding trading performance, profitability, or results

WE DO NOT WARRANT THAT:

• The Software will meet your requirements or expectations
• The Software will generate profits or prevent losses
• The Software's operation will be timely, secure, or error-free
• Any errors or defects will be corrected
• The Software is compatible with all systems, brokers, or market conditions

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

8.1. IN NO EVENT SHALL QUANTUM EDGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

• Trading losses, lost profits, or lost revenue
• Loss of data, use, or goodwill
• Direct, indirect, incidental, special, consequential, or exemplary damages
• Damages resulting from unauthorized access to or use of our systems
• Damages resulting from errors, interruptions, or delays in the Software
• Damages resulting from your reliance on the Software's outputs

8.2. MAXIMUM LIABILITY: Our total liability to you for all claims arising out of or related to these Terms or the Software shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is less.

8.3. ACKNOWLEDGMENT: You acknowledge that the limitations of liability in this Section are fundamental elements of the agreement between you and Quantum Edge, and that we would not provide the Software without these limitations.

9. Indemnification

You agree to indemnify, defend, and hold harmless Quantum Edge and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use or misuse of the Software
• Your violation of these Terms
• Your violation of any law, regulation, or third-party rights
• Your trading activities, whether automated or manual
• Any fraudulent chargebacks or payment disputes you initiate

10. Termination

10.1. By You: You may cancel your subscription and stop using the Software at any time by following the cancellation process in your account dashboard.

10.2. By Us: We reserve the right to suspend or terminate your access to the Software immediately, without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent activity or chargebacks
• Abusive behavior toward staff
• Non-payment of fees
• Use of the Software for illegal purposes
• Any other reason at our sole discretion

10.3. Effect of Termination: Upon termination:

• Your license to use the Software ends immediately
• You must cease all use of the Software and delete all copies
• We may delete your account data (subject to legal retention requirements)
• You are not entitled to any refund of fees paid
• Sections that by their nature should survive (warranties, liability, indemnification) will continue to apply

11. Governing Law & Dispute Resolution

11.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law provisions.

11.2. Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), rather than in court, except that you may assert claims in small claims court if your claims qualify.

11.3. Class Action Waiver: You agree to resolve disputes with us only on an individual basis and not as part of any class, consolidated, or representative action.

11.4. Jurisdiction: To the extent arbitration does not apply, you agree to submit to the personal jurisdiction of courts located in the USA.

12. Miscellaneous

12.1. Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Quantum Edge.

12.2. Severability: If any provision is found unenforceable, the remaining provisions will continue in full force and effect.

12.3. No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.

12.4. Assignment: You may not assign or transfer these Terms. We may assign these Terms without restriction.

12.5. Force Majeure: We are not liable for any failure to perform due to causes beyond our reasonable control.

12.6. Updates: We may update these Terms at any time. Continued use after changes constitutes acceptance of the updated Terms.
